Terms of Service
Last updated: October 5, 2026
These Terms of Service (“Terms”) are a binding agreement between you and Oneonic Solutions, which operates the MicroBeet service (“MicroBeet”, “we”, “us”, or “our”). They apply to your access to and use of the MicroBeet website, web application, mobile app, APIs, app directory, and related services (together, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service for a business, you agree on behalf of that business and confirm that you have authority to do so. If you do not agree, do not use the Service.
1. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must give accurate, complete, and current information when you register, and keep it up to date.
- You are responsible for everything that happens under your account and for keeping your sign-in methods secure, including email access used for one-time codes.
- Tell us immediately at legal@microbeet.com if you suspect unauthorized access to your account.
- You may create and manage workspaces only for lawful business purposes. Each workspace is controlled by the account that created it and the users that account invites.
2. What MicroBeet provides
MicroBeet is cloud business software for issuing estimates and invoices, recording expenses and payments, managing customers, vendors, products, inventory, and purchase orders, reporting, and related features. It also includes a payment-gateway integration layer and an app directory.
We may add, change, or remove features. Modules that are marked “coming soon” or “in beta”, including planned HR, payroll, Shopify, Odoo, and data migration features, are not guaranteed to be available on any date and may be offered under separate terms.
3. Plans, fees, and billing
3a. Plans
- Starter: a free plan with the features and limits shown on our pricing page, including a limit on the number of organizations.
- Pro Growth: a paid plan billed monthly or annually, in the currencies shown at checkout.
The prices, currencies, taxes, and limits in effect when you purchase a plan apply to that purchase. We may change prices for future billing periods, with notice given before the change applies to your plan.
3b. Recurring billing
- Paid plans renew automatically at the end of each billing period until you cancel. You authorize us and our payment providers to charge the payment method on file for each renewal.
- Fees are charged in advance for the billing period, and invoices and receipts are issued for each charge.
- You are responsible for any taxes that apply to your purchase, including goods and services tax (GST) where it applies. Your invoice will show the taxes we collect.
3c. Failed payments
If a renewal payment fails, we will try again and notify you. If payment remains outstanding after the grace period described in your billing notice, your plan may be paused or moved to the Starter plan. We will not delete your business data because of a failed payment alone. You can restore your plan by paying the outstanding amount.
4. Cancellation and refunds
4a. Cancellation
You can cancel a paid plan at any time from your billing settings. Cancellation stops future renewals. Your paid features remain available until the end of the current billing period, after which your workspace moves to the Starter plan. Cancelling does not delete your business data.
4b. No refunds
Once you purchase a MicroBeet paid plan, the fee is non-refundable. This applies to monthly and annual plans, to partial billing periods, to upgrades, and to plans that you stop using before the end of the billing period. We do not offer refunds for plan purchases.
This section does not limit any right you have under mandatory law. It also does not apply where a charge was made in error, such as a duplicate charge for the same billing period, which we will correct by refund or credit.
4c. Your customers’ refunds
If you refund a payment that your customer made through a payment gateway you connected, the refund is issued through that gateway, under your agreement with it. MicroBeet does not hold your customers’ funds and is not responsible for refunds you agree with your customers.
5. Payment gateways and third-party apps
- You may connect third-party services, including payment gateways (such as Stripe, Razorpay, PayPal, Cashfree, and PhonePe), commerce and ERP platforms (such as Shopify and Odoo, when available), and migration tools.
- Each third-party service is provided under its own terms and privacy policy. You must have your own account with it and comply with its rules.
- Fees charged by a payment gateway, bank, or third-party app are separate from MicroBeet fees and are payable to that provider. Some apps may add a fee that we show before you install them.
- We are not responsible for the availability, accuracy, security, or conduct of third-party services, or for changes they make to their APIs. An integration may stop working if a provider changes or withdraws access. We will tell you when we become aware of a material change.
- Disconnecting an app stops future data exchange. Data already transferred may remain in your workspace subject to these Terms.
6. Your business data
6a. Ownership
You own the business data you enter into the Service (“Your Data”). We do not claim ownership of Your Data.
6b. Our licence to host and process Your Data
You give us a limited, non-exclusive, worldwide licence to host, copy, process, and display Your Data only as needed to operate, secure, support, and improve the Service for you, and to comply with law. We do not sell Your Data.
6c. Customers and other individuals
You are responsible for having a lawful basis, and for giving any notices or obtaining any consents required by law, before you record personal data about your customers, vendors, employees, or other people in MicroBeet. Where we process that personal data for you, we act as your processor and will process it under your instructions and the processing terms we agree with you.
6d. Export
You can export Your Data during your subscription and for the period described in section 8c.
7. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, or to issue fraudulent invoices, estimates, or receipts
- violate the rights of others, including privacy, intellectual property, and consumer protection rights
- attempt to access another workspace, bypass access controls, or interfere with the security or integrity of the Service
- probe, scan, or test the vulnerability of our systems without our written permission (responsible disclosure is welcome through our security contact)
- send spam or unsolicited messages through the Service
- upload malware or content that is harmful, abusive, or infringing
- reverse engineer, copy, resell, or sublicense the Service except as permitted by law or in writing by us
- use the Service to build a competing product, or to scrape or harvest data from it at scale
- exceed usage limits set for your plan, or use automated means to do so
We may suspend or restrict access to the Service if we reasonably believe you have breached this section. Where possible, we will tell you first.
8. Suspension, termination, and data after termination
8a. By you
You can close your account at any time from your account settings, after cancelling any paid plan.
8b. By us
We may suspend or terminate your account if you breach these Terms, if we are required to by law, or if your account is inactive for a long period, in which case we will give you notice first. We may also terminate the Service for convenience, in which case we will give you reasonable notice and a pro rata credit for any prepaid period that we cannot provide.
8c. Data after termination
After your account is closed, you have 30 days to export Your Data. After that, we delete it from active systems, and it is removed from backups as they expire, except for records we must keep for tax, accounting, or legal reasons.
9. Intellectual property
The Service, including its software, design, text, logos, and the “MicroBeet” name, is owned by us or our licensors and protected by intellectual property laws. These Terms do not give you any right to use our brand, except to identify the Service. Feedback you send us may be used by us without restriction or payment.
10. Availability, support, and changes
We work to keep the Service available and secure, but we do not promise uninterrupted access. We may carry out maintenance, which we will try to schedule with notice. We do not provide a service level commitment unless it is stated in a written agreement with you.
11. Third-party links and content
The Service may link to websites or content that we do not control. We are not responsible for them. Including a link does not mean we endorse it.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for checking your invoices, tax calculations, and accounting outputs before you rely on them, and for seeking professional advice where needed. MicroBeet is not a tax adviser, accountant, or law firm.
13. Limitation of liability
To the fullest extent permitted by law:
- MicroBeet will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.
- MicroBeet’s total liability arising out of or relating to these Terms or the Service will not exceed the amount you paid to MicroBeet for the Service in the 12 months before the event giving rise to the claim. If you have paid nothing in that period, our total liability is limited to one hundred US dollars (US$100).
These limits do not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct, or where a statutory consumer right applies that cannot be waived.
14. Indemnity
You will defend and indemnify MicroBeet against claims, losses, and reasonable costs arising from your Data, your use of the Service in breach of these Terms, or your breach of law or of the rights of a third party.
15. Changes to these Terms
We may update these Terms. For material changes, we will notify you by email or in the app at least 30 days before the change takes effect. If you do not agree to the change, you may close your account before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
16. Governing law and disputes
16a. Governing law
These Terms are governed by the laws of the Republic of India, without regard to conflict-of-law rules.
16b. Informal resolution
Before starting a formal proceeding, the parties will try in good faith to resolve a dispute by written notice and discussion for at least 30 days.
16c. Courts
If a dispute is not resolved, it will be subject to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, India, without prejudice to any mandatory right you have to bring a claim in your place of residence.
17. General
- Entire agreement: these Terms, together with our Privacy Policy and any order form or written agreement with you, are the entire agreement between us about the Service.
- Severability: if a provision is unenforceable, the rest of these Terms remain in effect.
- No waiver: a delay in enforcing a right is not a waiver of that right.
- Assignment: you may not transfer your rights under these Terms without our consent. We may transfer them to a successor in a merger, acquisition, or sale of assets, with notice to you.
- Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, internet or power failures, or government action.
